This is a timely opportunity to acquire the assets of a 30-year established brand – Dust Busters Australia – which specialised in duct cleaning, repairs and replacement. 

Matthew Hutton and Robert Smith were appointed voluntary administrators (“Administrators”) of J & G Enterprises Australia Pty Ltd (Administrators Appointed) (“the Company”) on 4 April 2023, which operated the Business trading as Dust Busters Australia (“Dust Busters” or “the Business”).  The Administrators have appointed Xcllusive Business Sales as the exclusive sales agent to sell the Business assets.

What is for Sale?

The opportunity is for an incoming purchaser to acquire Dust Busters’ assets in “as is” condition, noting the Business is no longer trading.  The Business was originally established in 1993 and provided multiple services including duct cleaning, ducted heating cleaning, duct repairs and replacement, HVAC duct cleaning and split system cleaning.

The Business historically offered duct cleaning services both residentially and commercially, with a well-known name and strong reputation.  Dust Busters built a substantial customer list covering an array of Melbourne suburbs.

Dust Busters most recently operated out of its head office in Ringwood.  Its leased premises has space and capacity to house an office and call centre for up to 10 individuals.

Prior to ceasing operations, the Company had three office staff members who ran Dust Busters’ day-to-day operations.  Their work included:

• Calling customers to book in repeat services;
• Fielding calls regarding inspections and service bookings;
• Maintaining an electronic and physical customer list;
• Liaising with contractors regarding booked services; and
• Liaising with customers to take payments.

Dust Busters utilised an independent contractor for all duct cleaning technical services, who earned a 20% commission against gross revenue billed for each job. This contractor provided their own equipment.

The Dust Busters assets available for sale include:

• All intellectual property relating to Dust Busters, including:
  • Domain name www.dustbusters.com.au, along with website and hosting information;
  • Dust Busters” logo (as displayed on the cover of the information memorandum); and
  • Trademark 724949; 
• Business client list – past and present (available to a purchaser for use in trading the Business and not for unrelated purposes); 
• Head office equipment and furniture (market value $2,300); and
• Operational plant and equipment (market value $5,200).

The Opportunity

A new owner has options to acquire the Dust Busters assets and either recommence trade to grow the Business from this point or bolt the Business assets onto an existing offering.  Potential upside opportunities include:

• Incorporating the Dust Busters assets into an existing cleaning company;
• Cross-marketing to customers with complementary services (subject to compliance with the requirements of the Privacy Act 1988 (Cth)); and/or
• A strategic add-on, seeking additional sales channels with proven results.

An excellent opportunity for a Purchaser to acquire the Business assets and intellectual property at a price likely below the equivalent cost required to start from scratch and grow to something similar.
