    *Terms and Conditions For the 120 Day ‘Find-Your-Buyer’ Guarantee: The Certainty Guarantee

    1. Our Guarantee: The buyer who will purchase your business will be introduced to your business within 120 days of going on the market. If the conditions in Point 2 are met, and at the time of settlement it is found that your business was introduced to the buyer 121 days or greater of going on the market, we will reduce our commission by 50%
    2. Conditions: For a business to be eligible for this guarantee all of the following conditions must be met:

      a. The business will not be at any time advertised at a price greater than the business appraisal amount.

      b. There will be no restrictions placed on the types of marketing that the agent is allowed to undertake. (All marketing will be undertaken confidentially).

      c. All relevant material facts will be disclosed to Xcllusive prior to going on the market.

      d. Detailed and accurate financial records for the business must be made available for the appraisal and for the buyers’ due diligence upon request in a timely manner.

      e. The business must not be taken off the market during the 120-Day period for any length of time.

      f. The period between 25th December(Christmas Day) and 26th January(Australia Day) is excluded from the 120 Day guarantee due to office closure and general holiday period.

    3. ‘The buyer who will purchase your business will be introduced to your business within 120 days of going on the market’ means that within 120 days of the marketing commencement date (one business day after ‘Confirmation of Instruction’ form is signed and returned to Xcllusive), we will introduce your business to the person, business or company (OR agent/s OR representative/s for the person, business or company) who will purchase your business.

    4. Due to the due diligence process, legal obligations, negotiations and unforeseen delays, business purchase can extend well beyond the 120-day period. It is for this reason that we do not guarantee that a buyer will commit to the purchase of your business within 120 days of advertising commencing or that the business will be sold within 120 days. we only guarantee that if all conditions are met that we will find and introduce the buyer who will subsequently buy your business within 120 days of advertising commencing.

    5. On the completion of the sales contract, we will identify the date that the buyer enquired. If the buyer enquired at a date that is 121 days or greater of the date that the business was publicly advertised for sale, a reduction of the commission amount by a percentage of 50% will be available to the vendor.

    6. The Guarantee applies only to the standard business sales program. It does not apply to non-commission packages or sales of new franchise areas.

    7. This guarantee applies only to businesses located within Major Metropolitan areas of Australia.
